Fraud under the guise of company registration is an emerging form of economic crime that, by exploiting institutional gaps and a lack of transparency in the legal entity registration system, facilitates the establishment of shell companies and the execution of large-scale transactions and borrowing. Within this framework, company registration is not merely an administrative process for establishing a legal entity, but a mechanism for presenting a legal identity to domestic and international stakeholders; nevertheless, the absence of up-to-date legislation adapted to current requirements (particularly given the age of company registration regulations) and the lack of post-registration oversight mechanisms have led to the registration of certain basic financial and identity information without the possibility of effective verification. While the development of electronic systems and connection to national databases are considered important steps in reducing forgery and facilitating electronic government, limitations in accessing certain data, the absence of a designated authority for comprehensive oversight of legal entities, and the inadequacy of accountability from institutions such as the central bank in the inquiry process have diminished preventive capacity. In this situation, the revision of laws, the design of ex-post oversight mechanisms, the specialization of judicial adjudication in metropolitan areas, the binding of financial institutions to cooperate with the Registration Organization, and the training of judges and law enforcement officers regarding the capacities of registration systems are deemed key measures for reducing company registration-related fraud and promoting administrative and economic health.
